Clarity Media Digital Advertising Service Agreement: Terms and Conditions

These standard Terms and Conditions govern the contractual relationship for digital advertising services between Clarity XP Inc. (referred to herein as the "Company" or "Clarity" or "We") and the advertiser/client placing an advertising booking (the "Advertiser" or "You" or "Client").

This document may not fully cover all ad placements, including those involving customized content, special production, or arrangements involving content association or integration, which will be governed by additional written agreement where necessary.

Definitions

  • Agreement: The legal form of this document that assures the offer by Clarity of advertising services and acceptance by the Client/Advertiser of the same, based on the enclosed terms and conditions, confirmed by the Company's issuance of an official invoice.
  • Ad(s): Any advertisement(s), messages, or communications provided by or on behalf of an Advertiser.
  • Advertising Materials (or Creative): Any materials, artwork, copies, or video files for Ads.
  • Business Day: A standard work day (between 9am-5pm AST) and does not include public holidays, Saturdays, or Sundays in Barbados.
  • Site(s): Clarity Host locations, including Outdoor Roadside Screens, Indoor Mall Screens, and Wi-Fi locations.

1. Booking and Contract Formation

  • 1.1. Offer and Acceptance: The Advertiser submits a booking request via the Company's online form (the "Booking Form"), which includes mandatory agreement to these T&Cs. The submission of the Booking Form constitutes an offer by the Advertiser. A contract is formed only upon Clarity's generation and issuance of an official invoice, which shall act as the Company's explicit written acceptance of the booking.
  • 1.2. Availability: All bookings are subject to availability of the requested digital screen space and time slot(s).
  • 1.3. Cancellation: The Advertiser may terminate the agreement by providing written notice. Cancellation fees will apply as follows:
  • Cancellation 16 or more days prior to the scheduled start date: 0% (Full refund or no charge).
  • Cancellation 5 to 15 days prior to the scheduled start date: 10% of the total contract value.
  • Cancellation less than 5 days prior to the scheduled start date: 50% of the total contract value.

2. Creative Content, Approvals, and Warranties

  • 2.1. Submission and Deadline: The Advertiser is required to provide all Advertising Materials according to the Material Submission Guidelines at least three (3) business days in advance of the subscription period ("Material Deadline").
  • 2.2. Approval and Control: Clarity shall approve in advance the Ad content and retains the unilateral right to refuse, reject, or postpone the display of any Creative that it deems, in its sole discretion, to be unsuitable, unlawful, misleading, or contrary to the Company's policy or industry standards (e.g., relating to taste, decency, or public interest). Clarity shall retain full control of the Digital Ad network at all times, and the Advertiser has no rights to demand or specify any aspect of operation.
  • 2.3. Warranties: The Advertiser warrants and ensures that all Advertising:
  • a. Confirms in all material aspects with applicable laws and regulations in Barbados.
  • b. Does not infringe upon any trademarks, copyrights, or Intellectual Property Rights of third parties (local or international).
  • c. Does not contain any material that is defamatory, offensive, libelous, or which infringes the statutory or common law right of third parties.
  • 2.4. Licensing and Consents: The Advertiser shall be solely responsible for obtaining and paying for all necessary licenses and consents for the display of Advertising, including any copyrighted material or featured persons.
  • 2.5. Indemnity: The Advertiser agrees to hold, defend, and indemnify Clarity against all claims, liabilities, and costs arising from the display of the Creative.
  • 2.6. Non-Discrimination: The Advertiser warrants that its advertising is not intended to discriminate against any protected group, aligning with Clarity’s non-discrimination policy.
  • 2.7. Competitive Separation: Clarity will use commercially reasonable efforts to ensure that the Advertiser’s Ad is separated from any Ad belonging to a direct competitor (as explicitly categorized by the Advertiser in the Booking Form) by a minimum of three (3) other Ads in the rotation loop. The Advertiser must notify Clarity in writing of any specific competitive separation requirements at the time of booking.

3. Performance, Display, and Service Interruptions

  • 3.1. Performance: Clarity will use commercially reasonable efforts to display all Advertising Materials according to the agreed-upon schedule.
  • 3.2. Guarantees: Clarity DOES NOT guarantee the amount of impressions or the number of "ads" during any given agreement term, though it strives to meet the general goal of 106 minimum plays per day.
  • 3.3. Technical Issues and Interruption: Digital screens may experience technical outages.
  • a. Grace Period: If an interruption is caused by Clarity (e.g., equipment failure), there will be a grace period of one (1) business day to restore service.
  • b. Remedies for Sustained Loss: If the interruption results in a loss of 10% or more of the agreed display frequency, the Advertiser’s sole remedy shall be, at Clarity’s discretion: a pro-rata Credit/Refund, Make-Good Time on the original screen, OR Substitute Placement on a comparable available screen.
  • c. Exclusions: The Company shall not be liable for any interruptions or failures on Wi-Fi locations caused by events beyond its reasonable control, including but not limited to: loss of internet service or external network failure; power failure impacting the ISP connection; cybersecurity attacks; or force majeure events.
  • d. Multi-Screen Locations and Partial Interruption: Where a single Site consists of multiple screens and one is removed for maintenance, Clarity will automatically increase the Advertiser’s play frequency on the remaining operational screens to compensate. The Advertiser is only entitled to a remedy if the calculated number of delivered plays falls by 10% or more after this automatic mitigation.
  • 3.4. Right to Interrupt/Remove: The Company reserves the right to temporarily interrupt or remove the Advertiser’s Creative to display critical public service announcements or emergency messages without penalty.
  • 3.5. Reporting and Measurement Standards:
  • Delivered Plays: A "Delivered Play" is defined as the successful loading and display of the Ad content for the full booked duration, as logged by Clarity’s system.
  • Reporting: Clarity will provide the Advertiser with a Report of Delivered Plays within ten (10) business days following the campaign end date.
  • Audit Rights: The Advertiser shall have the right to request reasonable evidence supporting the Delivered Play counts, at their own expense.

4. Financial Terms

  • 4.1. Payment: Payment is due before the scheduled ad start date, or according to the payment terms specified on the official invoice.
  • 4.2. Late Payment: The Company reserves the right to charge interest on all overdue amounts at a rate of 1.5% per month.
  • 4.3. Taxes: All prices quoted are exclusive of any applicable taxes (e.g., VAT, sales tax), which shall be the sole responsibility of the Advertiser.
  • 4.4. Billing Dispute: Advertiser/Client waives any billing dispute if Clarity is not notified in writing within five (5) business days from the date of the invoice.
  • 4.5. Default: The non-payment by Advertiser/Client shall constitute a default under this agreement.

5. Limitation of Liability and Enforcement

  • 5.1. Maximum Liability: The Company's total cumulative liability shall not exceed the total amount paid by the Advertiser for the specific advertisement that gave rise to the claim.
  • 5.2. Exclusion of Damages: Clarity shall not be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits or business opportunity).
  • 5.3. Enforcement: Advertiser/Client shall pay Clarity costs and expenses, including attorney fees, incurred by Clarity in the enforcement of this Agreement.

6. General Provisions

  • 6.1. Governing Law and Arbitration: This Agreement shall be construed under Barbados Law. By accepting the agreement, this becomes a binding agreement to be arbitrated, if need be, according to the laws of Barbados.
  • 6.2. Representatives: Any person executing this Agreement on behalf of an Advertiser warrants they have authority to do so and accepts personal liability if they are not authorized.
  • 6.3. Conflict of Interest with Screen Location/Host Tenants: Clarity will attempt to mitigate conflicts of interest by offering alternatives for ad placement. If mitigation fails, either party may terminate the agreement without penalty.
  • 6.4. Entire Agreement and Modification: This agreement represents a complete integration of all prior negotiations.
  • 6.5. Non-Assignment: Advertiser/Client shall not assign this agreement without the prior written consent of Clarity.
  • 6.6. Confidentiality: The parties shall use all reasonable endeavors to ensure that the details of this Agreement and any proprietary information are not disclosed to any third party.
  • 6.7. Data Privacy and Wi-Fi Network Data: Clarity's Wi-Fi network may collect and utilize non-personally identifiable, aggregated data for reporting and audience measurement in compliance with Barbados law. The Advertiser is responsible for ensuring its own data collection practices comply with all relevant privacy regulations.

  • All advertising creative ("Material") must be submitted no later than 12:00 PM three (3) business days prior to the scheduled campaign start date ("Material Deadline").

2.2. Resolution and Aspect Ratio

  • Standard Vertical Screens (Outdoor Roadside & Indoor Mall): 1080 x1920 pixels (9:16 Aspect Ratio).
  • Wi-Fi Captive Portals: 1080 x 1080, 1080 x 1350, or 1920 x 1080 pixels.
  • Scaling: Do not submit scaled-up or low-resolution files. Submission of incorrect resolution may result in distortion or rejection.

2.3. Color and File Properties

  • Color Space: RGB (sRGB profile). CMYK colors are for print and will be rejected or rendered incorrectly. RGB (High resolution, 300 - 600dpi minimum)
  • File Size: Maximum file size per creative asset is 10 MB for static images and 30 MB for video files.
  • Frame Rate (Video): 25 fps or 30 fps maximum.
  • Audio: Outdoor Digital Screens do not support audio, only indoors. Video files submitted for outdoors with an audio track will have the audio removed or muted upon ingestion.

3. Design and Content Best Practices

3.1. Content Restrictions (Roadside Safety Compliance)

  • Roadside Billboards Only: Video and Full Animation are Strictly Prohibited. Content must be a limited or static image only (dwell Time: 10 seconds).
  • The display of any full animation, scrolling text, flashing, blinking, or pulsating effects is forbidden on roadside screens.

3.2. Color and Contrast (Avoiding All-White Backgrounds)

  • Avoid Full-White Backgrounds (RGB #FFFFFF): Use dark backgrounds with light text for optimal contrast and to minimize glare and power consumption, especially at night.
  • Contrast is Key: Ensure high color and tonal contrast between text and background.

3.3. Typography and Readability (Avoiding Fine Print)

  • No Fine Print: Fine or small print is strictly prohibited. Any text requiring prolonged reading is ineffective and will fail to be read from a distance.
  • Font Choice: Use large, bold, sans-serif fonts.
